So Television Acquired by ITV

London, UK-based production company So Television has been acquired by ITV plc for a total consideration of up to £17m.

Via its wholly owned subsidiary ITV Studios Ltd, ITV will pay an upfront cash consideration of £10m with a further cash payment contingent on So Television’s profit performance to 31 July 2016 (the maximum total consideration payable is £17m).

Established in 1998 by Irish comedian Graham Norton and Graham Stuart, So Television is the independent producer behind hit entertainment and comedy programmes that are broadcast on BBC and Dave in the UK, including The Graham Norton Show, which airs in over 100 countries, and The Sarah Millican Television Programme. It also produces various shows for BBC Radio 4 under the name of So Radio, and is currently filming a new panel show for BBC America hosted by Graham Norton and featuring US comics.

The transaction provides So Television with an additional platform for its continued growth and development, and allows ITV to expand its presence across multiple television networks, free and pay, both in the UK and internationally.
