Sabre to Acquire Trust Group of Companies, for $154M

Sabre Corporation (NASDAQ: SABR), a Southlake, Texas, USA-based provider of software, data, mobile and distribution solutions to the global travel industry, is to acquire the Trust Group of Companies, a central reservations, revenue management and hotel marketing provider, for approximately $154m.

The amount of the acquisition, which will include Trust International, InnLink and Nexus, was not disclosed. Sabre will purchase the Trust Group from global investment firm Battery Ventures. The acquisition is subject to customary closing conditions and regulatory approvals and is expected to close in early 2016. Until closing, the two companies will continue to operate as separate companies.

The Trust Group’s global customer base, capabilities and solutions will allow Sabre to provide a more comprehensive SaaS platform, while extending its position as a large central reservations system provider to hotels.

Led by Tom Klein, president and chief executive officer, Sabre provides solutions used by hundreds of airlines and thousands of hotel properties to manage critical operations, including passenger and guest reservations, revenue management, flight, network and crew management. The company also operates a global travel marketplace, which processes more than $120 billion of estimated travel spend annually by connecting travel buyers and suppliers.
Sabre serves customers in more than 160 countries around the world.

Led by Richard Wiegmann, chief executive officer, the Trust Group of Companies consists of:
– Trust International, a CRS provider and international hospitality partner offering distribution solutions to hotel chains and hospitality,
– InnLink, provider of reservation technology and services for individual hotels, and
– Nexus World Services, a global provider of RFP management tools and sales force automation.
